These Terms of Service ("Terms") govern your access to and use of the Mintstone platform ("Platform", "Service") provided by Mintstone Ltd ("Mintstone", "we", "us", "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Mintstone provides a SaaS platform for UK development lenders to monitor and manage risk across property development portfolios. Key features include:
3.1 Eligibility: You must be at least 18 years old and authorised to represent the organisation you register for.
3.2 Account Security: You are responsible for maintaining the confidentiality of your credentials. Notify us immediately at contact@mintstone.co.uk if you suspect unauthorised access.
3.3 Accurate Information: You agree to provide accurate, current, and complete information during registration and keep it updated.

6.1 Mintstone IP: All Platform software, design, content, trademarks, and technology remain the exclusive property of Mintstone Ltd. You receive a limited, non-exclusive, non-transferable licence to use the Platform as described in these Terms.
6.2 Your Data: You retain ownership of all data you upload (project information, documents, photos). By using the Platform, you grant Mintstone a licence to process, store, and analyse this data solely to provide the Service.
6.3 Feedback: Any suggestions or feedback you provide may be used by Mintstone without obligation or compensation.
7.1 Fees: Pricing is based on your subscription tier and active project count, as agreed in your Service Agreement or Order Form.
7.2 Billing: Fees are billed monthly or annually in advance. Payment is due within 14 days of invoice date via bank transfer or approved payment methods.
7.3 Late Payment: Late payments may incur interest at 4% above Bank of England base rate (Late Payment of Commercial Debts Act 1998).
7.4 Tax: All fees are exclusive of VAT, which will be charged at the prevailing UK rate.
Your use of the Platform is also governed by our Privacy Policy, which forms part of these Terms. We process personal data in accordance with UK GDPR and Data Protection Act 2018.
Data Processing Agreement: Lender customers act as Data Controllers; Mintstone acts as a Data Processor. A separate DPA will be provided for execution.
9.1 Uptime Target: We aim for 99.5% uptime (excluding scheduled maintenance). We do not guarantee uninterrupted access.
9.2 Maintenance: We may perform scheduled maintenance with at least 48 hours' notice via email.
9.3 Support: Support availability depends on your subscription tier:
10.1 Financial Decisions: The Platform provides monitoring tools and analytics to support your risk management processes. Mintstone does not provide financial advice, lending recommendations, or regulatory compliance guarantees. You remain solely responsible for all lending and risk decisions.
10.2 Data Accuracy: While we use industry-standard AI/OCR tools, automated data extraction may contain errors. You must verify all critical information (invoices, valuations, budgets) before relying on it for decisions.
10.3 Third-Party Services: We integrate with third-party services (Open Banking providers, Telegram, AWS). We are not liable for failures, outages, or security breaches of third-party services.
10.4 Exclusions: To the maximum extent permitted by law, Mintstone excludes all warranties, conditions, and representations (express or implied), including merchantability, fitness for purpose, and non-infringement.
10.5 Liability Cap: Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the fees paid by you in the 12 months preceding the claim.
10.6 Excluded Losses: We shall not be liable for indirect, consequential, or special damages, including lost profits, business interruption, or reputational harm.
10.7 Consumer Rights: Nothing in these Terms excludes or limits liability for death/personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.
10.8 ADC Classification & Regulatory Capital Outputs: The Platform includes functionality that calculates whether a development finance exposure meets the criteria for a 100% or 150% risk weight under the Standardised Approach for credit risk, as set out in PRA Policy Statement PS 1/26 and the UK Capital Requirements Regulation (UK CRR), implementing Basel 3.1. These outputs are derived mechanically by applying the published PRA criteria to data supplied by or on behalf of the Customer. They are informational tools only and do not constitute regulatory advice, legal advice, or a guarantee of regulatory compliance. The Customer is solely and exclusively responsible for all regulatory capital calculations, risk-weighted asset determinations, and submissions made to the PRA or any other regulatory authority. Mintstone makes no representation that reliance on Platform outputs will satisfy the Customer's obligations under PS 1/26 or any other applicable regulation. The Customer must independently validate all classification outputs before relying on them for any regulatory, capital, or risk management purpose.
You agree to indemnify and hold harmless Mintstone, its directors, officers, and employees from any claims, losses, or damages arising from:
12.1 Term: These Terms remain in effect for the duration of your subscription.
12.2 Termination for Convenience: You may terminate by providing 30 days' written notice. Fees are non-refundable for the current billing period.
12.3 Termination for Cause: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay fees.
12.4 Effect of Termination: Upon termination:
We may update these Terms to reflect legal, operational, or feature changes. Material changes will be notified via email at least 30 days in advance. Continued use of the Platform after changes take effect constitutes acceptance.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15.1 Good Faith Negotiation: Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation for 30 days.
15.2 Arbitration (Optional): By mutual agreement, disputes may be referred to binding arbitration under the rules of the London Court of International Arbitration (LCIA).
Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, war, terrorism, labour disputes, or government actions.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
These Terms, together with the Privacy Policy and any executed Service Agreement, constitute the entire agreement between you and Mintstone regarding the Platform.
